Welcome to RyanSpelts.Marketing (the “Site”). These Terms & Conditions (“Terms”) govern your access to and use of our website and services. By accessing or using our site or working with us, you agree to be bound by these Terms.

Ryan Spelts Marketing (“RSM,” “we,” or “us”) offers digital marketing services including but not limited to:

• Website Design & Development

• SEO & Local Search Optimization

• Paid Advertising & Programmatic Campaigns

• Creative Services (Design, Copy, Branding)

• Business Coaching

• Social Media Management

• Google Business Profile Optimization

• Newsletter Campaigns

• Website Hosting and Management

Services are provided only after a signed agreement is executed between the client (“you”) and RSM.

All website and advertising services require a signed agreement before work begins.

Ongoing services (such as monthly SEO or ad campaigns) are subscription-based and will continue until canceled per the terms of your agreement.

• Website projects require 50% upfront and 50% upon completion. If delays are caused by the client exceeding 30 days, the final payment becomes due at that time.

• All other services must be paid in advance.

• Monthly services are billed via ACH or credit card on the date specified in your signed agreement.

• All payments are non-refundable once work has commenced.

• Clients are entitled to three (3) rounds of revisions per creative item or website.

• If no feedback is provided within the stated review window (typically 3–5 business days), approval will be assumed.

• Additional revision hours will be billed at $75–$85/hr depending on service type.

• Upon full payment, clients retain full rights to all branding, copy, websites, and marketing assets created for them, excluding third-party tools and stock assets governed by their own licenses.

• RSM reserves the right to display client work in our portfolio and marketing materials, unless the client requests otherwise in writing.

• We use various third-party platforms to deliver services, including (but not limited to):

• Wix, WordPress, Meta (Facebook/Instagram), Google, SEMrush, Yelp, SquareSpace, Shopify, Go High Level, Merchynt, AdCellerant.

• RSM is not responsible for disruptions, changes, or downtime related to these platforms.

• We do not guarantee results, rankings, or ROI. Outcomes depend on a variety of factors outside our control, including market conditions, ad platform changes, algorithm updates, and client responsiveness.

• We may collect and store client and potential customer information in our CRM system.

• We may send email or SMS communications for marketing purposes.

• We do not sell your data to any third party.

• Service cancellations must follow the written terms outlined in your signed agreement.

• Month-to-month services require 30 days’ notice to cancel.

• Early terminations of fixed-term contracts may incur fees of up to $1500 depending on the remaining duration.

• RSM reserves the right to pause or cancel services due to nonpayment or breach of terms.

• We reserve the right to update or modify these Terms at any time. Continued use of the Site or our services after changes constitutes acceptance of the updated terms.

• Customer support is available Monday–Friday, 9 AM to 5 PM MT.

• Support requests can be submitted via your account manager or by contacting our office directly.

• In no event shall RSM’s liability exceed the total amount paid by the client for services rendered. We are not liable for indirect, incidental, or consequential damages related to your use of our services or site.

• These Terms are governed by the laws of the State of Utah. Any disputes shall be resolved in the courts of Weber County, Utah.
